Africa is gaining increasing significance in the mining space as many African countries contain a wealth of mineral resources, some of which will be critical for the energy transition. Our Africa mining team is ideally positioned to assist in successfully managing the legal, regulatory, and political challenges which are inherent in doing business in this sector on the African continent. Allied Gold Corporation on the acquisition of the Bonikro Gold Mine located in Cote d’Ivoire.
Eurasian Natural Resources Corporation (ENRC), the global mining company, in connection with a range of unprecedented disputes arising out of an internal investigation and “self-reporting” process with the Serious Fraud Office (“SFO”).
Allied Gold Corporation on its acquisition of Endeavour Resources Inc, which owns an 85% interest in Agbaou Gold Operations SA, which in turn owns the Agbaou Open Pit Gold Mine (located nearly 200km north of the port city of Abidjan in Cote d'Ivoire) from Endeavour Gold Corporation.
Vale Nouvelle Calédonie, a nickel and cobalt ore extraction and production company, on the creation of a joint venture with Trafigura and the local authorities of New Caledonia for the acquisition of Vale Nouvelle Calédonie.
Harmony Gold Mining Company Ltd. in its takeover, in an all-stock offer, for all the outstanding shares of Gold Fields Limited.
Oaktree Capital Management on its disposal of Saloro S.L.U., one of the leading European tungsten mines located in Spain, to EQ Resources Limited, an ASX-listed miner in Australia.
Advised Royal Gold, Inc. on multiple precious metal streaming transactions, with a 2015 aggregate value exceeding US$1.4bn.
Represented Goldman Sachs as advisor to BHP Billiton on their £75bn merger with Rio Tinto Zinc.
Represented the underwriters on a proposed IPO, Hong Kong listing, and Rule 144A placement of shares of a Chinese molybdenum and copper mining company.
Advised The London Metal Exchange on the establishment of a new, EMIR-compliant metal derivatives clearing house, LME Clear.
Represented Qatar Petroleum on the drafting of the offtake contract for the supply of aluminium produced by the Qatalum aluminium smelter.
Advised Rabobank International as lender in relation to an ECA-backed facility (SACE) for a steel producer based in Belgium.
Drafted terms and conditions for internet trading of metals and metals derivatives.
Advising an Australian-based company engaged in the exploration for gold, other mineral resources and construction of gold producing infrastructure in ongoing environmental litigation proceedings in several West African countries.
AMG Advanced Metallurgical Group N.V. in connection with a 25% shareholding in Zinnwald Lithium Plc, a UK supplier of battery grade lithium hydroxide, on German environmental and mining law aspects.
Eurasian Resources Group in the DRC in relation to its power purchase arrangements, including arrangements with the national utility and also purchasing power cross border, from a Zambian power supplier.
Frontier mine in relation to its power supply arrangements in Zambia.
Represented the mining industry before the South Africa Parliamentary Portfolio Committee on Mineral Resources with regard to the Mine Health and Safety Act and the Mineral and Petroleum Resources Development Act.
Represented AngloGold Ashanti in a Clean Water Act (CWA) case filed by the Sierra Club and Mineral Policy Center.
