Parikshit Dasgupta (Parik) advises private fund sponsors and institutional investors on complex secondary transactions and the structuring, formation, and operation of private investment funds across all major alternative strategies.

Parik Dasgupta advises investment managers and institutional investors on the structuring and execution of complex private funds transactions, with a particular focus on secondary market solutions and private fund formation.

His secondaries practice includes advising on GP-led and LP-led transactions, continuation vehicles, fund recapitalizations, strip sales, preferred equity arrangements, stapled transactions, and tender offers. He regularly represents sponsors and lead investors in bespoke liquidity solutions involving sophisticated structuring and regulatory considerations.

Parik also advises sponsors on the formation and ongoing management of private investment funds, including commingled vehicles, co-investment programs, SMAs, and strategic partnerships across private equity, credit, real assets, and other alternative strategies. He has extensive experience with manager spin-outs, seeding arrangements, joint ventures, and firm-level governance.

He serves as a primary regulatory counsel on matters involving the Securities Act, Investment Company Act, and Investment Advisers Act, and advises on compensation structuring, succession planning, and operational compliance.

With more than 20 years of experience, including prior roles as a partner at leading international law firms, Parik is a trusted advisor to many of the market’s most active and sophisticated private fund sponsors.

Representative experience

A number of leading sponsors including Macquarie Bank, First Sentier Investors (formerly First State), Qualitas, PAI Partners, Triton Partners, Investec, among others, on fund formation transactions.

A number of institutional investors including Washington State Investment Fund, Adam Street Partners, Allianz, and several U.S. pension plans on their investments across a number of asset classes.
